1. About These Terms

These Terms and Conditions govern the use of this website and the delivery of consulting services by Lattica, a business consulting practice operating from Level 23, Menara Allianz, Jalan Tun Razak, 50400 Kuala Lumpur, Malaysia ("Lattica", "we", "us").

By accessing this website or engaging Lattica for consulting services, you agree to these terms. If you are entering into an engagement on behalf of an organisation, you confirm that you have authority to do so and that the organisation accepts these terms.

2. Our Services

Lattica offers the following consulting engagements:

  • Remote Ways-of-Working Session

    A facilitated session to help distributed teams establish shared working habits and communication norms. Includes a preparation call, a facilitated session, and a working-agreements summary. Fee: RM 580.

  • Collaboration Workflow Review

    A structured review of how a remote team coordinates day to day, with an improvement plan. Includes interviews, a workflow review, and a written improvement plan. Fee: RM 2,500.

  • Distributed Operating Model Roadmap

    An advisory programme helping an organisation shape a thoughtful approach to running distributed teams. Includes sessions, a roadmap, and a leader's guide. Fee: RM 4,400.

All fees are quoted in Malaysian Ringgit (MYR) and are exclusive of any applicable taxes unless stated otherwise. The specific scope, deliverables, and timeline for each engagement will be confirmed in a written proposal or statement of work issued prior to commencement.

3. Engagement and Agreement

An engagement begins when both parties have agreed in writing — by email, a signed proposal, or equivalent written confirmation — on the scope, fee, and timeline. We do not commence work until this agreement is in place.

Lattica reserves the right to decline any engagement enquiry at its discretion, without obligation to provide reasons.

4. Fees and Payment

Payment terms for each service type are as follows:

  • Remote Ways-of-Working Session (RM 580): Payment in full is due prior to the facilitated session. Work will not commence until payment is received.
  • Collaboration Workflow Review (RM 2,500): 50% (RM 1,250) is due upon engagement confirmation. The remaining 50% is due upon delivery of the improvement plan.
  • Distributed Operating Model Roadmap (RM 4,400): 50% (RM 2,200) is due upon engagement confirmation. The remaining 50% is due upon delivery of the roadmap and leader's guide.

Invoices are payable within 14 calendar days of issuance. We accept payment by bank transfer to our Malaysian account details, which will be provided on the invoice. Late payments may incur a late fee at the rate permitted under Malaysian law.

All fees are in Malaysian Ringgit (MYR). International clients are responsible for any currency conversion or bank transfer charges.

5. Cancellation and Rescheduling

If you need to cancel or reschedule an engagement, please notify us in writing as early as possible.

  • Cancellation more than 5 business days before a scheduled session or milestone: any amount paid beyond work already completed will be refunded.
  • Cancellation within 5 business days: the upfront deposit or session fee is non-refundable, as preparation work will have been undertaken.
  • Rescheduling requests received more than 2 business days in advance will be accommodated where our schedule allows, at no additional charge.

Lattica reserves the right to reschedule or postpone an engagement in the event of unforeseen circumstances. In such cases, we will provide as much notice as possible and work with you to agree a suitable alternative arrangement.

6. Confidentiality

Both parties agree to treat as confidential any non-public information shared during an engagement. This includes business processes, team structures, internal challenges, and any documents exchanged.

Lattica will not share information about your organisation with third parties without your permission, except where required by law. This obligation continues for three years following the conclusion of an engagement.

We may reference the general nature of an engagement (for example, "a workflow review for a remote team in the technology sector") in anonymised case studies or marketing materials, provided no identifying information is disclosed without your written consent.

7. Intellectual Property

Upon receipt of full payment, Lattica assigns to the client the right to use all deliverables produced specifically for that engagement — including working-agreements summaries, improvement plans, roadmaps, and leader's guides — for internal business purposes.

Lattica retains ownership of any methodologies, frameworks, templates, and general approaches used in the course of delivering engagements. Clients may not reproduce, resell, or distribute Lattica's proprietary materials without written permission.

Deliverables may not be passed to competitors of Lattica or used to develop or market a competing consulting service.

8. Client Responsibilities

The quality of our work depends in part on your active participation. You agree to:

  • Provide accurate and complete information about your team, structure, and context.
  • Make relevant team members available for sessions, interviews, or review calls as agreed.
  • Review and respond to draft deliverables within the timeframes set out in the engagement proposal.
  • Appoint a primary contact within your organisation to manage the engagement on your side.

Delays caused by the client's failure to fulfil these responsibilities may affect timelines and are not the responsibility of Lattica.

9. Limitation of Liability

Lattica provides advisory and facilitation services. Our work is informational and operational in nature and does not constitute legal, financial, accounting, or regulated professional advice.

The recommendations and deliverables we provide are based on the information available to us at the time of the engagement. Outcomes depend on factors outside our control, including how recommendations are implemented by your team.

To the fullest extent permitted by Malaysian law, Lattica's total liability in connection with any engagement shall not exceed the total fees paid by the client for that engagement. We are not liable for indirect, consequential, or speculative losses.

10. Website Use

This website is provided for informational purposes. While we take care to keep content accurate and current, we make no representations about the completeness or continued accuracy of any information on this site.

You may not use this website in any manner that is unlawful, disruptive, or harmful to others. Unauthorised reproduction of website content is not permitted.

11. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of Malaysia. Any disputes arising from or relating to these terms or any engagement with Lattica shall be subject to the exclusive jurisdiction of the courts of Malaysia. We will always attempt to resolve disputes informally before any formal proceedings are initiated.

12. Changes to These Terms

We may update these Terms and Conditions from time to time. The current version and its effective date are shown at the top of this page. Engagements in progress at the time of an update continue under the terms that applied when the engagement was confirmed.
